Terms and Conditions
These Terms and Conditions (hereinafter referred to as the "Terms and Conditions”) should be effective as of the acceptance date (hereinafter referred to as the "Effective Date").
The company holder of the Stetsom Brand rights, STETSOM ELECTRONICS USA INC, located at 66 West Flagler Street, Suite 900/#7424, Miami, Florida, 33130, United States of America (hereinafter referred to as "Stetsom"), requires the acceptance of these Terms and Conditions by the party who are buying products at a special dealer's price (the “Reseller”) in order to resale, market, promote, and distribute Stetsom's products through United States of America (hereinafter referred to as the "products").
- Acceptance and Compliance
In order for the Reseller to be granted a special price and license to resale, market, promote, and distribute Stetsom products in the United States, they must express their acceptance and wish to comply with the present Terms and Conditions.
In case the Reseller, after signing these Terms and Conditions, wants to sell in a different country, they must communicate Stetsom with a 30 days’ notification prior to starting to sell in the different country.
- Obligations
The Reseller shall be responsible for the sales and promotions of the products. Furthermore, the Reseller shall meet the M.A.P. Policy USA (Minimum Advertised Price Policy USA) (Appendix A of these Terms and Conditions) for all Stetsom Products and notify Stetsom with the details about any suggestions related to promotions, sale pricing and other necessary information.
The Reseller shall speak on behalf of Stetsom to protect the brand reputation of any misperception or attacks created by any competitor to diminish Stetsom's products and trust. Always acting fairly before its customers.
- Amazon Transparency
Until these Terms and Conditions are in effect (see Termination scenarios in article 4), Stetsom will provide products with valid transparency codes for the Reseller to be able to sell on the Amazon marketplace. If the code, under any circumstances, is invalid or was not provided by Stetsom, the Reseller must notify Stetsom immediately for new codes emission.
All the expenses involving the returning products with invalid or missing transparency codes will be carried by the Reseller and will not, under any circumstances, be transferred to Stetsom.
- Term and Termination
The Terms and Conditions shall be enforceable as per the aforementioned Effective Date and continue to exist perpetually.
The Reseller obligations and liabilities incurred prior to the termination date shall survive the termination of these Terms and Conditions for all purposes.
These Terms and Conditions are effective unless and until termination by Stetsom. If in Stetsom’s sole judgment, the Reseller fails, or Stetsom suspects that the Reseller has failed to comply with any term or provision of these Terms and Conditions, Stetsom may void the Reseller authorization at any time without notice, and the Reseller will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny the Reseller access to its products (or any part thereof).
- Confidentiality
The Reseller shall refrain from disclosing any information mentioned in these Terms and Conditions publicly or to any third party, including and not limited to any inadvertent disclosure, causing irreparable harm, loss, damage, or injury to the brand Stetsom.
- Intellectual Property Rights
Nothing in these Terms and Conditions will function to transfer Stetsom Intellectual Property rights to the Reseller.
- Title and Restrictions
The Reseller shall not have any right, title or interest in the products and cannot directly or indirectly change and/or modify the products.
- Modifications to the Products and Prices
Prices for Stetsom products are subject to change without notice.
Stetsom reserves the right at any time to modify or discontinue the products (or any part or content thereof) without notice at any time.
Stetsom shall not be liable to the Reseller or to any third party for any modification, price change or discontinuance of any product.
- Governing Law
These Terms and Conditions and any separate agreements whereby Stetsom provides the Reseller shall be governed by and construed in accordance with the laws of Florida, United States.
- Changes to Terms of Service
The Reseller can review the most current version of the Terms and Conditions at any time on the current Stetson’s webpage.
Stetsom reserves the right, at its sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to its website at the link provided above. It is the Reseller’s responsibility to check Stetsom’s website periodically for changes. The Reseller continued special license to use the brand Stetsom must follow the posting of any changes to these Terms and Conditions and constitutes acceptance of those changes.
